一、项目介绍
开化县两山投资集团有限公司(以下简称“业主”)已经从法国开发署获得一笔外国政府贷款,并将部分资金拟用于“法开署贷款浙江开化钱江源头保护与美丽城镇互促发展示范项目”下“第 一包:总体规划和设计”。
本咨询服务包括总体规划和设计。
业主在此邀请申请人就上述服务内容的描述表达参与意向。

二、项目背景
浙江开化钱江源头保护与美丽城镇互促发展示范项目(以下简称本项目),项目位于浙江省开 化县。
开化县域总面积为2236.61平方公里,人口数量为36.06万人,是经济繁荣的浙江省内一个相对 落后的地区。虽然该县的地形比较崎岖,但从主要的周边城市仍可到达。尽管该县拥有重要的资源,如与大自然的接触和最近创建的钱江源国家公园,由于缺乏战略、组织和适当的设施,旅游产业 仍缺乏竞争力。
该县的行政边界与马金溪及其支流的地理环境相吻合,构成了钱江源头流域的一部分。森林生 态系统覆盖了80.09%的国土,其中一半被亚热带原始森林占据。马金溪塑造了开化的历史和文化特 征。开化县的水资源和森林,特别是钱江源国家公园,为整个下游人口提供了重要的生态系统服务,特别是饮用水供应和水流调节,也是自然资源保护区。

开化县属于亚热带季风气候(年降雨量1850毫米),夏季降水高度集中。就开化全境而言,气 候变化是可以明显感觉到的,气温每10年上升0.33℃。即将在--
上游修建的开化水库将降低马金溪的洪水强度和居民区的洪水风险。
整体来看,开化县的生态系统受到不同类型的压力,这些压力直接影响到它们的完整性和生物 多样性:
目前仍有16个废弃的矿井和902个矿坑,这些矿坑可能通过酸性排水产生慢性金属污染。马金溪的生态连续性被一连串的堰坝所破坏,这些堰坝阻碍了鱼类的迁移,破坏了沉积物 的转运。然而,即将在上游建造的开化水库大坝,旨在确保开化的饮用水供应,将对低水流 量产生积极影响。一些村庄将未经处理的污水直接排入河流。一小半的森林是人工的,在开发中,往往是单一的,也有病虫问题。它们构成了维护天然 森林生态走廊的障碍,而天然森林生态走廊对于保护某些关键物种的种群是必要的。
钱江源国家公园试点区是2017年在中国确立的十个试点国家公园之一,面积252平方公里,年 度预算约为2000万欧元,这使它能够开展雄心勃勃的计划,以提高对自然遗产(包括两个旗舰物种,黑麂和白颈长尾雉)和生态系统恢复(包括拆除马金溪上的水坝)的认识,以及建设轻型游客基 础设施。其自身的预算规模证明了AFD的资金是用于公园外围的补充行动的事实。
该公园由国家公园管理局管理,隶属于省林业厅。其任务是保护生物多样性,而地方发展则是 政府机构的责任。然而,公园的行动是与公园及其周边地区的乡镇密切协调的。现有的法规严格限 制了公园内的发展可能性,大部分已经建成或计划建成的接待和环境教育机构都在公园外。与公园 内或附近的16个村庄建立了伙伴关系,使公园的管理类似于法国的国家公园核心区和加盟区的制度。
钱江源被指定为国家公园试点区后,对开化县的发展政策产生了很大影响。现在的战略是减少 污染性工业的存在,即便这意味着牺牲GDP的增长点,以支持第三产业活动,其中生态旅游占有突 出的地位。将有一个新的统一和有效的治理模式建立,以增强该地区的吸引力。---
由于保护规则限制了公园内的新发展,今后发展战略以周边地区为基础。
在这种情况下,开化县希望发展其资源,创造一个原始的旅游目的地,基于对国土及其居民的 认知,开展环境教育和生态旅游活动,--
采取的战略是通过在公园外开发的游客网络来提高国家公园的质量和形象,确认将公园的优良环境“渗透”到整个地区的愿望,从山区到山谷、村庄,最后是开化全域。
总体目标:以生态系统服务功能的恢复、“自然化”解决方案为手段;以环境教育和生态可持 续发展为抓手,最终实现国家公园与开化县的互促发展。
该项目有两个发展子目标:
生态分目标:以钱江源国家公园为原点,将生物多样性保护和适应气候变化战略拓展到全域陆 地和水生生态系统,覆盖马金溪流域及开化县域;

城镇可持续发展分目标:依托钱江源国家公园的优良环境和开化县独特的环境和文化资源,促 进马金溪流域的可持续发展,推动-
建立国家公园品牌为基础的生态旅游经济,把开化打造成“国家公园城市”。
该项目从法国开发署获得了6500万欧元的贷款,由项目业主在2023年至2028年期间实施。该项 目将通过3个板块实施。
本项目由三部分组成:
第一板块:生态修复板块;
以钱江源国家公园为原点,将生物多样性保护和适应气候变化战略拓展到全域陆地和水生生态 系统,覆盖马金溪流域及开化县域。该部分目标为:以马金溪及其支流为尺度,重建水生生态廊道;在开化县尺度上重建陆地生态廊道;制定废弃矿山可持续修复的战略和技术解决方案。
第二板块:城镇可持续发展板块;
依托钱江源国家公园的优良环境和开化县独特的环境文化资源,促进马金溪流域的可持续发展,推动以建立公园品牌为基础的生态旅游经济,把开化打造成“国家公园城市”。
第三板块:能力建设板块;
这一部分将包括一个技术服务特派团,以支持项目的实施和加强地方当局的能力。该技术服务 将由多学科专家组成,其目的是加强地方政府和分类技术服务的能力,涉及与项目内容直接相关的 各种主题,如河流生态连续性、森林恢复和造林工程、废弃矿山恢复、环境教育、生态旅游开发、国家公园品牌开发以及更广泛的基于自然的解决方案。该专家团队需要制作并监督生态设计。技术 服务还将支持项目管理办公室在项目设计、实施和运营阶段履行与法国开发署商定的环境和社会承 诺计划(ESCP)中要求的环境和社会责任。
开化县成立了一个项目管理办公室(PMO),负责筹备和实施该项目,并与区内相关部门协调。
政府将成立一个由项目管理办公室主任主持的技术委员会,以讨论和确认有关该项目的决定。
本合同包包含以下任务:
任务一:总体概念规划设计,环境教育发展和管理计划
子任务1.1总体概念规划设计
子任务1.2环境教育发展与管理计划以及生态旅游策划
任务二:环境教育中心(EEC)周边的总体规划和建筑设计
子任务2.1场地整体方案设计

每个任务所包含的具体内容和具体子任务将在下一阶段予以明确(即“征询建议书”)。咨询 服务将贯穿整个项目的实施周期,即从2023年至2028年。
三、评价标准
咨询顾问整体要求:
1.顾问服务将由一支由中国和国际公司组成的联合体提供。
2.该联合体必须在城市规划、建筑设计、景观设计、室内设计、生态旅游策划方面具有丰富的经验。
3.该联合体需提供在中国的外贷项目业绩;
4.咨询顾问如为独立法人实体,须提供营业执照复印件或合法登记复印件,以证明咨询机构成立时 间不少于5年。
咨询顾问至少需要拥有下列资质和业绩记录:
-资质:
1.城乡规划编制甲级
2.工程设计综合甲级资质,或同时具备①建筑行业工程设计甲级资质或建筑行业(建筑工程)设计 甲级资质和②风景园林工程专项设计甲级资质;
-业绩:
1. 2015年1月1日以来(以合同签署时间为准),咨询顾问须完成过至少一项与本项目类似的面积 大于10平方公里以上的概念规划、总体规划或城市规划设计等同类项目业绩;
2. 2015年1月1日以来(以合同签署时间为准),咨询顾问须完成过至少一项与本项目类似的生态 旅游项目策划业绩;
3.
2015年1月1日以来(以LEED认证签发日期为准),咨询顾问须完成至少一项具备LEED标准银级及以 上或中国绿色建筑标识二星级及以上或法国HQE标准杰出(HQE
EXCELLENT)及以上或同等级的欧洲绿色建筑认证标准的建筑设计业绩;
4.
2015年1月1日以来(以合同签署时间为准),完成过至少一项与本项目类似的建筑设计业绩,其设 计内容须包括公共空间与沿街立面设计、房屋室内设计、建筑修缮与室内装饰工程的设计业绩;

2015年1月1日以来(以合同签署时间为准),咨询顾问须完成过至少一项类似风景园林工程设计业 绩;
感兴趣的申请人必须提供证明其具备履行这些服务的资格和经验的信息。为此,应提交近期的和类 似服务的书面证明文件。
类似经验业绩的判定将基于以下内容:
-合同规模
-咨询服务的性质(规划和设计)
-技术和专业领域(城市规划、建筑设计、景观设计、室内装修、生态旅游策划)-
外贷项目业绩-在中国的业绩
专家应当具备以下条件:
拟议的项目团队必须包括以下几类领域的关键专家:规划师、建筑师、建筑师(高能效建筑)、建筑师(修复和保护传统和遗产村落)、景观设计师、生态旅游项目策划专家、结构与水电工程 预算专家。
给投标人的特殊建议
关键专家的工作由项目开化县现场任务和办公室工作组成。团队必须具备英文和中文工作的能 力。
请注意,感兴趣函不是征询建议书,因此所要求的信息不需要申请人投入大工作量来准备。在 该阶段,尤其不需要方法论的描述或者专家的简历。为了加快评审过程,申请文件要求不超过80页。
四、合格性标准
1、 国籍与原产地规则
自从2002年1月1日起,本项目法开署批准的贷款已经完全放开,所有国家的货物与服务均可被 本项目贷款机构的贷款(但国际禁运适用的地区除外)采购,不受供应商、承包商、顾问、分包商、实施采购中投入或资源所在国家的影响。根据2001年4月20日的经济合作与发展组织发展援助委 员意见,这一决策不仅涉及“欠发达国家”,而且涉及本项目贷款机构业务涉及的所有其他国家。
2、 排除情形
如果自然人、法人(包括联合体的所有成员或任一分包商)在提交申请、投标或授予合同之日 存在以下情形,则不得向其授予合同:破产、清算、停业、被法庭管制活动、被破产接管、重组或由任何类似程序引发的任何类似情 形;
(2) 如下情形:
咨询公司选聘—意向书征询函 9根据在合同实施国的法庭生效判决,在过去五年内在合同采购过程或执行中犯有欺诈、腐 败或任何其他罪行,但随附诚信声明提供支持信息,证明罪行与本项目贷款机构贷款的合 同无关的除外;
b. 在过去五年内,欧盟或其国主管机关认定其在采购过程或履行合同期间犯有欺诈或腐败或 任何其他罪行的行政处罚,除非其提供相关资料以及诚信声明,证明这一处罚与本项目贷 款机构贷款的合同无关;
c. 在过去五年内,在贷款机构的贷款合同的采购和执行中,由法庭判决、且具有判决力的欺 诈或腐败或任何其他犯罪行为。
(3) 列入联合国、欧盟及/或法国的打击恐怖主义或国际和平与安全威胁的金融制裁名单;(4) 在过去五年中,在合同履行期间,由于重大过失或长期未能履行合同义务导致的合同终止,除 非(i)该合同终止被质疑,(ii)争议仍在解决过程中或尚未有最终结果指向他们; (5) 未根据其所在国家或受益人所在国家的法律规定履行缴纳税款的义务;
(6) 自2012年5月30日始,被世界银行排除并刊登在网站http://www.worldbank.org/debarr,但随 附诚信声明提供支持信息,证明与本项目贷款机构支持的贷款项目无关的除外;
(7) 在合同采购程序中,编造虚假文件或在受益人所要求的文件中存在虚假陈述。受益人发布的公 告和其他招标文件时,应尽可能在最早阶段包括上述排除情形。
3、 利益冲突
除了本项目贷款机构法开署批准之外,在以下情形下,自然人或法人(包括联合体的所有成员 或任一分包商)不具备资格,不得参与投标程序:
(1) 属于受益人控制的关系机构或控制受益人的股东,但相关利益冲突已经提请本项目贷款机构注 意并得到圆满解决的除外;
(2) 与受益人参与选择程序或合同监督程序的员工存在业务或家庭关系的,但相关利益冲突已经提 请本项目贷款机构注意并得到圆满解决的除外;
(3) 受其他投标人控制、控制其他投标人或者与其他投标人接受共同控制、或者直接或间接从其他 投标人获取或向其授予补贴、与其他投标人拥有相同的法定代表人、与其他投标人直接或间接 接触使其拥有或接触相关招标的信息、对其施加影响或影响受益人决策的;
(4) 从事的咨询活动的性质,可能与为受益人开展的任务存在冲突;
(5) 对于工程或货物的采购程序:
a. 曾经编制属于标的的规格、图纸、计算及可行性研究报告和其他文件或与编制顾问存在关 系;
b. 自己或任何关联机构曾经受聘(或建议受聘)开展工程监督或合同检查。
(6) 为国有机构,但无法提供证据证明:(a)其具有法律和财务上的自主权及/或(b)确实根据商法 经营;
(7) 参与本项目可研报告的咨询公司不得参与本项目下的任何投标。
(8) 咨 询 顾 问 , 无 论 是 独 立 投 标 或 联 合 体 牵 头 方 或 联 合 体 成 员 方 的 身 份 中 标 第 2 包之后,在第1/3/4/5 包(土建包)和第 6 包(监理包)的招标评估过程中将被自动除名。
4、 禁运
受益人承诺,未在受联合国、欧盟或法国禁运的领域获得、供应任何货物或从事经营。
五、联合体

申请人应以联合体名义或作为联合体的成员方提交一份意向书。子咨询顾问可以同时参与不同 的投标。
意向书中应包括一份联合体协议,内容包括:
(1) 所有联合体成员方签署的联合体协议副本,或有意向执行联合体协议的函,由所有联合体成员 签署并附联合体协议建议书;
(2) 联合体协议中应注明牵头方及各自拟承担的工作和责任,并承诺中标后联合体各方将向业主承 担连带责任。
若联合体未提交该文件,则其他成员方将被视为子咨询顾问。在评标过程中,子咨询顾问的经 验和资格不被考虑在内。
咨询服务必须由拥有丰富专业经验的中国境内和中国境外公司组成的联合体共同提供,联合体成员 总数不得超过4家公司。
六、投标语言
申请人准备的意向书以及申请人、业主和招标代理交换的与投标有关的所有通信和文件,均应 以英文书写,并附上准确的中文译文。
作为意向书一部分的支持文件和印刷文献可能是另一种语言提供的,应附有准确的英文和中文 翻译。

诚信、合格性及社会和环境责任声明

1) 我方认可并接受本项目贷款机构法开署对客户资助项目将遵循其已经签署的贷款协议中规 定的条件,该贷款协议直接或间接使得业主受益。因此,我司、我方联合体或我方供货商、承包商、分包商、咨询公司或咨询公司分支机构与本项目贷款机构并无任何法律关系。业主单独负有准备和执行合同采购及履行工作的责任。业主的指代依情况而定,可能是货 物采购项目中的买方,工程和大型机械设备项目中的业主,咨询或非咨询服务项目中的客 户。
2) 我方在此确认我方自身,抑或我联合体其它成员或我方供货商、承包商、分包商、咨询公 司或咨询公司分支机构将不存在以下情形中的任何一项:
2.1)
处于破产、关闭或停业、法院接管、破产清算、重组的状态或由上述情形导致的类似情 况;
2.2)
a. 在过去五年内,在进行采购或合同执行过程中,被合同执行所在国具有既判力的法 院判决为诈骗、腐败或任何其他的犯罪(如果存在这样的判决,你们可以在本诚信 声明后面附上支持信息,证明这项判决与本合同的背景不相关);
b. 在过去五年内,在进行采购或合同执行过程中,被欧盟或我们所在国家的主管部门,因诈骗、腐败或任何其他的犯罪而处以行政制裁(如果存在这样的制裁,你们可 以在本诚信声明后面附上支持信息,证明这项制裁与本合同的背景不相关);
c. 在过去五年内,在完成法开署支持的采购或合同执行过程中,被合同执行所在国具 有既判力的法院判决为诈骗、腐败或任何其他的犯罪(如果存在这样的判决,你们 可以在本诚信声明后面附上支持信息,证明这项判决与本合同的背景不相关)。
2.3) 处于因反恐和国际和平与安全政策,受到联合国、欧盟和/或法国的制裁的状态;
2.4)在过去五年内,在履行合同过程中,未能遵守或坚持遵守我们的合同义务,导致合 同终止且判决结果我们完全败诉,除非这项终止已被质疑,争议尚未解决或者判决结果 我们并没有彻底败诉;

2.7)作为本合同采购程序的一部分,向业主提交了不实的或歪曲事实的资料。
3) 我方在此证明,不论我方,抑或我方联合体所有成员或我方的供货商、承包商、分包商、咨询公司或咨询公司分支结构并未卷入以下任何利益冲突情形之中:
3.1)
作为业主的附属机构或业主股东,除非该利益冲突已受控并已以法开署满意的方式解决;
3.2)
在采购过程中,与业主员工存在商业或亲属关系,且该员工涉及合同授予或监管的工作,除非该利益冲突已受控并已以法开署满意的方式解决;
3.3)
受控于或控制另外一家投标人或咨询公司或共同处于另外一家投标人的控制;或直接或 间接接受或受另外一家投标人或咨询公司的资助;与另外一家投标人或咨询公司为同一 法人;与另外一家投标人或咨询公司保持直接或间接的联系并可分享招标申请、标的或 建议书信息,影响业主的决定;
3.4) 参与了某项目的咨询活动,因其自然属性,可能会与业主的任务产生冲突;
3.5)在工程或货物采购中:
i. 编制或与咨询机构合作编制了招标标的的规格、图纸、计算或其它资料,这些资料将被用于本项目的采购;
ii. 我方或我方附属机构已受聘(或正被提名受聘)作为本合同的监督或检查 执行机构;
4) 如若我方为政府所有企业,我方在此证明我方拥有法律和财务自治权,并且我方在遵守商 业法律法规的要求下运营。
5) 我方承诺将向业主,并由业主转告法开署所有就本声明第2至第4条发生的任何变化。
6) 关于合同采购和履行:
6.1)
我方不会且将来也不会发生任何失信行为(故意或疏忽)从而去欺骗他人、隐瞒事项、违反或违背他人意愿、诱使他人规避法律法规的要求或/和违反其国内法规,以获取非 法利益。
6.2)
我方不会且将来也不会发生任何失信行为(故意或疏忽),违背法律法规要求或我方国 内法规以获取非法利益。

6.3) 我 方 不 会 且 将 来 也 不 会 直 接 或 间 接 向 (i)
任何业主所在国拥有立法、行政、管理或司法权利的人员,不论该人员是被任命或被选
举 的 、 永 久 还 是 临 时 受 命 、 领 薪 与 否 、 社 会 地 位 高 低 , (ii)

I. Introduction
The Kaihua County Liangshan Investment Group Co., Ltd.(hereinafter referred to as "the Employer") has received a financing from Agence Française de Développement ("AFD"), and intends to use part of the funds thereof for payments under the following project Protection of Qianjiang River source and promotion of sustainable development around the city of Kaihua and Qianjiangyuan nation Park -Lot 1: Programming and Design.
The Services of the consultant shall consist of Ecological Technical Assistance.
The Employer hereby invites Applicants to show their interest in delivering the Services described above.
This Request for Expressions of Interest is open to:

II. Project Background
The “Protection of Qianjiang River source and promotion of sustainable development around the city of Kaihua and Qianjiangyuan Nation Park Project”, hereinafter referred to as "the Project" is located in Kaihua County of Zhejiang Province.
Kaihua District covers an area of 2,236 km2. With a population of 360,600, it is a relatively less developed district within the economically prosperous province of Zhejiang. Although its terrain is quite rugged, the district is still accessible from major neighboring cities. However, despite the district's significant assets, such as its contact with nature and the recent creation of the Qianjiangyuan National Park, the tourism

sector lacks competitiveness due to a lack of strategy, organization and appropriate facilities.
The administrative boundaries of the district coincide with the geography of the Majin River and its tributaries, which form part of the upper Qianjiang River watershed. Forest ecosystems cover 80.09% of the territory, half of which is occupied by primary subtropical forests. The Majin River has shaped Kaihua's history and cultural identity. The hydro-system and forests of Kaihua District, especially Qianjiangyuan National Park, provide important ecosystem services to the entire downstream population, especially for drinking water supply and water flow regulation, but also as a nature and resource area.
The Kaihua County is subject to a subtropical monsoon climate (1850 mm of rainfall per year), with a high concentration of precipitation in summer. As for the whole territory of Kaihua, the climate change is clearly perceptible, with a rate of
temperatures increasing of 0.33°C per 10 years. The upcoming construction of a new dam upstream of the city of Kaihua will reduce the intensity of flooding of the Majin River and the risk of flooding in inhabited areas.
In general terms, the ecosystems of the Kaihua district are subject to different types of pressures, which directly affect their integrity and biodiversity.
-There are still 16 abandoned mines and 902 mining pits, which may generate chronic metal pollution through acid drainage.
-The ecological continuity of the Majin River is disrupted by a succession of weirs, which prevent fish migration and disrupt sediment transit. The imminent construction of a dam upstream, intended to secure the supply of drinking water to Kaihua, will however have positive consequences on low water flows.
-Some villages discharge their untreated effluent directly into the rivers.
-A small half of the forests are artificial, in exploitation and often mono-specific, with sanitary problems. They constitute obstacles to the maintenance of ecological corridors of natural forests, necessary for the conservation of populations of certain key species.
Qianjiangyuan National Park is one of ten pilot national parks established in China in 2017. It covers an area of 252 km2 and has an annual budget of approximately 20 million euros, which allows it to carry out ambitious programs to improve knowledge of natural heritage (including two flagship species, the black muntjack and the Eliott's pheasant) and ecosystem restoration (including the removal of dams on the Majin River) as well as the construction of light visitor infrastructure. The size of its own budget justifies the fact that AFD funding is directed towards complementary actions on the periphery of the park.
The park is managed by the national park management office, which is part of the provincial forestry office. Its mission is to protect biodiversity, while local
development is the responsibility of government institutions. However, the actions of the park are closely coordinated with the communes of the park and its peripheral zone. Chinese regulations strictly limit the possibilities of development inside the park, and most of the reception and environmental education structures that have been built or are planned are outside the park. Partnerships have been established with 16 villages within or near the park, making the governance of the park similar to the French system of national parks core area and accession areas.
The designation of Qianjiangyuan as a pilot national park has strongly influenced the development policy of the city of Kaihua. Its strategy is now to reduce the presence of polluting industries, even if it means sacrificing GDP growth points, in favour of

tertiary activities, among which ecotourism holds a prominent place. It has also led to the establishment of a new unified and effective governance and has enhanced the attractiveness of the district. On the other hand, the fact that the protection rules limit new developments inside the park leads to base the development strategy on the peripheral areas.
In this context, the Kaihua district wishes to develop its assets to create an original tourist destination, based on the discovery of the territory and its inhabitants,
environmental education and ecotourism activities. The strategy adopted by the district is to enhance the qualities and image of the national park through a network of visitors developed outside the park, affirming the desire to "trickle down" the
environmental excellence of the park throughout the district, from the mountains to the valleys, villages and finally the city of Kaihua.
The goal of the Project is to build a development synergy between the Qianjiangyuan National Park and Kaihua County, based on the restoration of ecosystem services, environmental excellence, nature-based solutions, environmental education and sustainable economic development.
The Project has two development objectives:
-Extend biodiversity conservation and climate change adaptation strategies from Qianjiangyuan National Park to terrestrial and aquatic ecosystems and the Majin River watershed and the entire Kaihua County;
-Building on the environmental excellence of Qianjiangyuan National Park and the unique environmental and cultural resources of Kaihua County to promote sustainable development of the Majin River watershed and its tributaries and to promote the establishment of an ecotourism economy based on the Park brand and making Kaihua a "Park City".
The Project has obtained a loan of € 65 million from the French Development Agency and is to be implemented by the Project owner from 2023 to 2028. The project will be implemented through 3 components (non-exhaustive list):
Component 1:Biodiversity restoration and services provided by natural ecosystems
This component aims to i) improve the ecological continuity in the Majin River catchment area, ii) create ecological corridors at the territorial level of Kaihua, and iii) define restoration plans for the remediation of abandoned mines and the renaturation of brownfields. This strategy adopted allows for major advances in biodiversity conservation, ecosystem services (particularly in terms of climate change mitigation and adaptation) while increasing the attractiveness of the territory.
Component 2: Development of ecotourism and environmental education
This component aims to develop an ecotourism destination characterized by the quality of ecosystems, natural landscapes and the environment, the discovery of culture, know-how and local production and a high level of environmental education, based on the value of the national park.
Component 3: Capacity building and technical support
This component will include a technical assistance mission to support the implementation of the project and to strengthen the capacities of local authorities.
This technical assistance will be made up of a pool of multidisciplinary experts

whose aim is to strengthen the capacities of local authorities and decentralized technical services, on various themes directly related to the content of the project such as river ecological continuity, forest renaturation and afforestation, abandoned mines restoration, environmental education, ecotourism development, national park branding development and more generally, nature-based solutions.This team of expert may have to develop and monitor some ecologic design. The technical assistance will also support the PMO in performing environmental and social diligences required in the environmental and social commitment plan (ESCP) agreed with AFD, all along the project design, implementation and operation phases.
Kaihua District has set up a Project Management Office (PMO) in charge of preparing and implementing the project, in coordination with the concerned departments within the District.
A technical committee, animated by the Head of PMO, will be set up by the authorities in order to discuss and validate the decisions concerning the project.
The project will be managed by the Kaihua County Liangshan Investment Group Co., Ltd.
Purposes of the assignment
To effectively implement the project, the project owner seeks a consulting service with following tasks:
Task 1 – Overall Master plan, Environmental education development and management plan
Sub-task 1.1: Overall Master plan
Sub-task 1.2: Environmental education development and management plan & Ecotourism planning
Task 2 – Master plan for surrounding Environmental Education Center (EEC) and Architectural design
Sub-task 2.1: Master plan for surrounding site
Sub-task 2.2: Wetland Restoration and Farmland wooden walkway Engineering development design
Sub-task 2.3: Architectural detailed design and interior detailed design of Environmental Education Center (Development Design phase)
Sub-task 2.4: Environmental Education Center Civil Engineering Task Outline Preparation
Task 3: Development of the ecotouristic attractiveness of the typical mountain village of Xiashan and Dujingyuan
Sub-task 3.1: The rehabilitation of traditional village of Xiashan
Sub-task 3.2: The rehabilitation of traditional village of Dujingyuan

The precise contents and detailed assigment of each task will be specified at the later stage (Request for Proposals).
The consulting services will run through the project implementation period, i.e. from 2023 to 2028.
III. Evaluation Criteria
The services under this lot are to be provided by a team comprising of international and local consultants with rich experience in the related field.
General expertise requirements for the Consultant are presented below. Detailed expertise requirements will be presented at the next phase (Request for Proposals).
Consultant
General Requirements:
1. The consultant services are to be provided by a Joint Venture of Chinese and international consulting firms.
2. The Joint Venture must have demonstrated experience in urban planning, architectural detailed design, landscape design, interior architecture, ecotourism planning.
3. The Joint Venture must have demonstrated experience in supporting the implementation of international financed projects in China.
4. Each Joint Venture member must have the qualification of independent legal person and be established for more than 5 years
The Consultants need to have the following minimum qualifications and performance records:
Qualifications:
1. Class A Qualification for urban and countryside planning;
2. Class A Comprehensive qualification of construction engineering design or Class A Qualification for Construction industry (building engineering) design or Construction industry design, and Class A Qualification for landscape design
Performance:
1. The Consultant needs to have completed the performance of at least one similar project of more than 10 square kilometers in conceptual planning, master planning or urban planning and design since January 1, 2015 (date of signing of the contract);
2. The Consultant needs to have completed at least one ecotourism project planning similar to this project since January 1, 2015 (date of signing of the contract);
3. The consultant needs to have completed at least one building design that meets the LEED standard silver level or above or the CHINESE CERTIFICATE OF GREEN BUILDING LABEL two-star level or above or HQE
CERTIFICATION EXCELLENT or above or the same level of European green building certification standards since January 1 2015 (date of issuance of Certification);

4. The Consultant needs to have completed at least one architectural design. The content must include the design of public space, street facade, building interior, building repair and interior decoration since January 1 2015 (date of signing the contract);
5. The Consultant needs to have completed at least one similar landscape design since January 1, 2015 (date of signing the contract);
Interested consultants must provide information evidencing that they are qualified and experienced to perform those Services. For that purpose, documented
evidence of recent and similar services shall be submitted.
Determination of the similarity of the experiences will be based on:
-The contracts size;
-The nature of the Services (Programming and Design);
-The technical area and expertise (urban planning, architectural design, landscape design, interior architecture, ecotourism planning);
-Experience in internationally funded projects
-Experience in the Client’s country (PRC)
Experts
The proposed Project team must include key experts with competencies in the following fields: Planners, Architects (Buildings), Architects (Energy Efficiency Buildings), Architects (Restoration and Conservation of Traditional and Heritage Villages), Landscape Architects, Ecotourism Project Planning Experts, Structural and Hydropower Project Budget Experts.
Specific recommendations for the bidders
The assignment of the key experts is comprised of the work in office and on site.
The team must have the ability to work in English and Chinese.
It is noted that the Request for Expression of Interest is not a Request for Proposals, and the requested information should not involve a large amount of work from the
applicants. In particular, the drafting of a methodology or the identification and submission of CVs of experts for the consulting services are not required at this stage. In order to speed up the evaluation process, it is required that the application documents do not exceed 80 pages.
IV. Eligibility Criteria to the Financing
1. Rules of nationality and of origin
Financing allocated by AFD has been entirely untied since 1st January 2002. All procurement of goods, works, plants, consulting services and non-consulting services are eligible for AFD financing regardless of the country of origin of the providers, contractors or consultants (including subcontractors, subconsultants and suppliers), except where an international embargo applies . This decision not only concerns the "Least Developed Countries" (LDCs), pursuant to the Organisation for Economic

Cooperation and Development (OECD)/ Development Assistance Committee (DAC) Recommendation of 20th April 2001 on untying aid, but also all the other foreign countries where AFD operates.
2. Grounds for exclusion
A Person (including all members of a joint venture or any of their subcontractors) shall not be awarded an AFD-financed contract if, on the date of submission of an application or of a bid or a proposal or on the date of award of a contract, they: Are bankrupt, being wound up or ceasing their activities, are having their 1)
activities administered by the courts, have entered into receivership, or are in any analogous situation arising from any similar procedure;
2) Have been:
a. convicted within the past five years by a court decision, which has the force of res judicata in the country where the contract is implemented, of fraud or corruption or any other offence committed during the procurement process or performance of a contract, unless they provide supporting information together with their Statement of Integrity which shows that this conviction is not relevant in the context of this AFD financed contract;
b. subject to an administrative sanction within the past five years by the
European Union or the competent authorities of the country where they are constituted, for fraud or corruption or for any other offence committed during a procurement process or performance of a contract, unless they provide supporting information together with their Statement of Integrity which shows that this conviction is not relevant in the context of this AFD financed contract;
c. convicted within the past five years by court decision, which has the force of res judicata, of fraud or corruption or of any other offence committed in the context of an AFD-financed procurement process or performance of a contract;
3) Are listed for financial sanctions by the United Nations, the European Union and/or France for the purposes of fight against terrorist financing or threat to international peace and security;
4) Have been subject within the last five years to a contract termination fully settled against them for significant or persistent failure to comply with their contractual obligations during contract performance, unless (i) this termination was
challenged and (ii) dispute resolution is still pending or has not confirmed a full settlement against them;
5) Have not fulfilled their fiscal obligations regarding payments of taxes in
accordance with the legal provisions of either the country where they are
constituted or the Beneficiary's country;
6) Are subject to an exclusion decision of the World Bank and are listed on the website http://www.worldbank.org/debarr, unless they provide supporting information together with their Statement of Integrity which shows that the exclusion is not relevant in the context of this AFD-financed project;
7) Have created false documents or have committed misrepresentation in
documentation requested by the Beneficiary as part of the procurement process of this contract.
3. Conflict of interest

Except in cases duly accepted by AFD, a Person (including all members of a joint venture or any of their subcontractors) shall be disqualified in a competitive
procurement process if they:
1) Are an affiliate controlled by the Beneficiary or a shareholder controlling the Beneficiary, unless the stemming conflict of interest has been brought to the attention of AFD and resolved to its satisfaction;
Have a business or a family relationship with a Beneficiary's staff involved in the 2) procurement process or the supervision of the resulting contract, unless the stemming conflict of interest has been brought to the attention of AFD and resolved to its satisfaction;
3) Are controlled by or control another bidder or are under common control with another bidder, receive from or grant subsidies directly or indirectly to another bidder, have the same legal representative as another bidder, maintain direct or indirect contacts with another bidder which allow them to have or give access to information contained in the respective bids, to influence them or influence the decisions of the Beneficiary;
4) Are engaged in a consulting services activity which, by its nature, may be in conflict with the assignments that they would carry out for the Beneficiary; 5) In the case of a procurement process for goods, works or plants:
i. Prepared or have been associated with a consultant who prepared
specifications, drawings, calculations and other documentation for the procurement process;
ii. Have been recruited or are proposed to be recruited, themselves or any of their affiliates, to carry out works supervision or inspection for this contract.
6) Are state-owned entities, which are not able to provide evidence that (a) they are legally and financially autonomous and/or (b) they do operate under commercial law.
7) Consultants who took part in the project’s feasibility study are not entitled to submit an offer for any lot of the project.
8) The Consultants, whether it is an independent Consultant or a JV leader or a JV member, will be automatically removed from the evaluation process of Lot 1 / 3 / 4 / 5 ( civil engineering package ) and the Lot 6 ( supervision package ) after winning the bid for Lot 2.
4. Embargos
The Beneficiary undertakes not to acquire or supply any equipment or to operate in any sector which is subject to an embargo by the United Nations, the European Union or France.
V. Joint Venture
The Applicant shall submit only one application, either in its own name or as a member of a Joint Venture (JV). However, the same Subconsultant may participate in several applications.
If the Applicant is a JV, the expression of interest shall include:
1. A copy of the JV Agreement entered into by all members, or
a letter of intent to execute a JV Agreement, signed by all members together with a copy of the Agreement proposal;

2. JV Agreement shall indicate the leading partner of the JV and respective work scope and responsibility as well as a commitment to state that each party of the JV will assume liable responsibility to the Employer if they won the bid.
In the absence of this document, the other members will be considered as Sub-consultants.
Experiences and qualifications of Sub-consultants are not taken into account in the evaluation of the applications.
If the Applicant is a JV, members of the JV shall not be more than 4 (four) firms in total.
VI. Language of Bid
The EOI prepared by the Applicant and all correspondence and documents relating to the Bid exchanged by the Applicant, Employer and Tendering Agent, shall be written in English with accurate Chinese translation attached.
Supporting documents and printed literature that are part of the EOI may be in another language provided shall be accompanied by an accurate English and Chinese
translation.

c) convicted, within the past five years by a court decision, which has the force of res judicata, of fraud, corruption or of any other offense committed during the procurement process or performance of a contract financed by the Lender;
2.3 Being listed for financial sanctions by the United Nations, the European Union and/or France for the purposes of fight-against-terrorist financing or threat to international peace and security;
2.4 Having been subject within the past five years to a contract termination fully settled against us for significant or persistent failure to comply with our
contractual obligations during contract performance, unless this termination was challenged and dispute resolution is still pending or has not confirmed a full settlement against us;
2.5 Not having fulfilled our fiscal obligations regarding payments of taxes in accordance with the legal provisions of either the country where we are
constituted or the Contracting Authority's country;
2.6 Being subject to an exclusion decision of the World Bank and being listed on the website (in the event of such exclusion, you may attach to this Statement of Integrity supporting information showing that this exclusiogn is not relevant in the context of this Contract);

2.7 Having created false documents or committed misrepresentation in documentation requested by the Contracting Authority as part of the procurement process of this Contract.
3. We hereby certify that neither we, nor any of the members of our joint venture or any of our suppliers, contractors, subcontractors, consultants or subconsultants are in any of the following situations of conflict of interest:
3.1 Being an affiliate controlled by the Contracting Authority or a shareholder controlling the Contracting Authority, unless the stemming conflict of interest has been brought to the attention of the Lender and resolved to its satisfaction; 3.2 Having a business or family relationship with a Contracting Authority's staff involved in the procurement process or the supervision of the resulting Contract, unless the stemming conflict of interest has been brought to the attention of AFD and resolved to its satisfaction;
3.3 Being controlled by or controlling another bidder or consultant, or being under common control with another bidder or consultant, or receiving from or granting subsidies directly or indirectly to another bidder or consultant, having the same legal representative as another bidder or consultant, maintaining direct or indirect contacts with another bidder or consultant which allows us to have or give access to information contained in the respective applications, bids or proposals,
influencing them or influencing decisions of the Contracting Authority;
3.4 Being engaged in a consulting services activity, which, by its nature, may be in conflict with the assignments that we would carry out for the Contracting
Authority;
3.5 In the case of procurement of goods, works or plants:
a) Having prepared or having been associated with a consultant who prepared specifications, drawings, calculations and other documentation to be used in the procurement process of this Contract;
b) Having been recruited (or being proposed to be recruited) ourselves or any of our affiliates, to carry out works supervision or inspection for this Contract.
4. If we are a state-owned entity, and to compete in a procurement process, we certify that we have legal and financial autonomy and that we operate under commercial laws and regulations.
5. We undertake to bring to the attention of the Contracting Authority, which will inform the Lender, any change in situation with regard to points 2 to 4 here above.
6. In the context of the procurement process and performance of the corresponding contract:
6.1 We have not and we will not engage in any dishonest conduct (act or omission) deliberately indented to deceive others, to intentionally conceal items, to violate or vitiate someone's consent, to make them circumvent legal or regulatory
requirements and/or to violate their internal rules in order to obtain illegitimate profit;
6.2 We have not and we will not engage in any dishonest conduct (act or omission) contrary to our legal or regulatory obligations or our internal rules in order to obtain illegitimate profit;
6.3 We have not promised, offered or given and we will not promise, offer or give, directly or indirectly to (i) any Person who holds a legislative, executive,
administrative or judicial mandate within the State of the Contracting Authority regardless of whether that Person was nominated or elected, regardless of the permanent or temporary, paid or unpaid nature of the position and regardless of the hierarchical level the Person occupies, (ii) any other Person who performs a public function, including for a State institution or a State-owned company, or

who provides a public service, or (iii) any other person defined as a Public Officer by the national laws of the Contracting Authority’s country, an undue advantage of any kind, for himself or for another Person or entity, for such Public Officer to act or refrain from acting in his official capacity;
6.4 We have not promised, offered or given and we will not promise, offer or give, directly or indirectly to any Person who occupies an executive position in a private sector entity or works for such an entity, regardless of the nature of his/her capacity, any undue advantage of any kind, for himself or another Person or entity for such Person to perform or refrain from performing any act in breach of its legal, contractual or professional obligations;
6.5 We have not and we will not engage in any practice likely to influence the contract award process to the detriment of the Contracting Authority and, in particular, in any anti-competitive practice having for object or for effect to prevent, restrict or distort competition, namely by limiting access to the market or the free exercise of competition by other undertakings;
6.6 Neither we nor any of the members of our joint venture or any of our suppliers, contractors, subcontractors, consultants or subconsultants shall acquire or supply any equipment nor operate in any sectors under an embargo of the United Nations, the European Union or France;
6.7 We commit ourselves to comply with and ensure that all of our suppliers,
contractors, subcontractors, consultants or subconsultants comply with
international environmental and labour standards, consistent with laws and regulations applicable in the country of implementation of the Contract, including the fundamental conventions of the International Labour Organisation (ILO) and international environmental treaties. Moreover, we shall implement environmental and social risks mitigation measures when specified in the environmental and social commitment plan (ESCP) provided by the Contracting Authority.
We, as well as members of our joint venture and our suppliers, contractors, subcontractors, consultants or 7.
subconsultants authorise AFD to inspect accounts, records and other documents relating to the procurement process and performance of the contract and to have them audited by auditors appointed by AFD .

The selection of Applicants to be shortlisted shall follow the rules as defined herebelow:
The Applicant must have at least one experience in each criterion; otherwise the application will be disqualifed.
The ranking of Applicants is based on the greatest number of criterion fulfilled (boxes checked).
For a Joint Venture, the experiences of all members will be added together for a combined total.
